1. Platform Overview

Qimah is an online marketplace that enables users to:

• List, discover, buy, and sell businesses and digital assets
• Communicate with other users
• Share documents and files related to potential transactions
• Enter into negotiations, including non-disclosure agreements (NDAs)

We are not a party to any transaction between users unless explicitly stated otherwise.

2. Eligibility and Account Responsibility

You confirm that:

• You are at least 18 years old
• You have full legal capacity to enter into binding agreements
• All information you provide is accurate, complete, and kept up to date

You are responsible for:

• All activity under your account
• Keeping your login credentials secure
• Any actions taken through your account, whether authorized by you or not

3. Acceptable Use

You agree to use the Platform lawfully, honestly, and in good faith.

You must NOT:

• Violate any applicable law or regulation
• Misrepresent your identity, authority, or ownership of a business
• Upload false, misleading, fraudulent, or incomplete information
• Use the Platform for scams, money laundering, or illegal activities
• Interfere with or disrupt the Platform’s operation or security
• Attempt to access data or accounts not belonging to you

We reserve the right to investigate and take action against any misuse.

4. User Communications & Messaging

The Platform allows users to send messages to one another.

You agree that you will not:

• Send abusive, threatening, harassing, defamatory, or hateful content
• Share illegal, obscene, or harmful material
• Solicit users outside the Platform in a deceptive or manipulative manner
• Share malware, phishing links, or malicious code

We may monitor, review, or remove messages where legally permitted or required to protect users and the Platform.

5. File Uploads & Sensitive Information

Users may upload files such as:

• Commercial Registrations (CRs)
• Financial statements
• Identity or verification documents
• Deal-related materials

By uploading files, you confirm that:

• You have the legal right to share the documents
• The information is accurate and not misleading
• The content does not violate any law or third-party rights

Platform handling of files:

• We take reasonable technical and organizational measures to protect uploaded data
• We do not verify the authenticity or accuracy of user-uploaded documents
• You remain responsible for the content you upload

6. Selling Businesses & Listings

If you list a business for sale, you represent and warrant that:

• You own the business or have legal authority to sell it
• You have a genuine intent to sell
• All disclosed information is truthful, complete, and not misleading
• Material facts, risks, and liabilities are not concealed

We do not guarantee:

• The accuracy of listings
• That a transaction will close
• The financial performance or legality of any business

7. NDAs and User Agreements

Users may enter into NDAs or other agreements directly with each other.

You acknowledge that:

• Such agreements are strictly between the involved parties
• We are not responsible for enforcing or interpreting them
• Breaches must be resolved between users or through legal channels

8. Legal Templates Disclaimer

The Platform may provide:

• Sample contracts
• NDA templates
• Legal or transactional documents

Important: These are provided for general information only and:

• May not be suitable for your jurisdiction or situation
• Should not be relied upon without consulting qualified legal professionals

We disclaim all liability arising from the use of templates.

9. Admin Rights & Enforcement

We reserve the right, at our sole discretion, to:

• Suspend or terminate accounts
• Remove or modify listings or content
• Freeze, cancel, or reverse deals
• Investigate suspected violations
• Comply with legal or regulatory requests

Where appropriate, users will be notified of such actions.

10. Reporting & Disputes

Users may report:

• Fraudulent behavior
• Misrepresentation
• Abuse or policy violations

Reports will be reviewed by our admin team. We may take action but do not guarantee a specific outcome.

Disputes between users must be resolved directly between the parties unless otherwise required by law.

11. Escrow & Licensing

The Platform may offer escrow or payment facilitation services:

• Subject to applicable laws and licenses
• Through licensed entities or partners
• Under separate terms where applicable

We reserve the right to introduce, modify, or discontinue escrow services.

12. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for user actions, listings, or transactions
• We are not responsible for losses arising from reliance on user-provided information
• Our liability, if any, is limited to the amount paid to us (if applicable)

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia, unless stated otherwise.

15. Language

These Terms may be made available in multiple languages for convenience. In case of any inconsistency or doubt, the English version shall prevail.
